ASeekers — Charitable Incorporated Organisation

CIO registration pending. This constitution will be formally submitted to the Charity Commission on completion of registration.
1. Name

The name of the Charitable Incorporated Organisation is ASeekers (the CIO).


2. National Location

The principal office is in England and Wales.


3. Object

The object of the CIO is the relief of those in need by reason of displacement, asylum seeking status, or refugee status, in particular by:

  • Providing clear, accessible information to asylum seekers and refugees regarding their rights, entitlements, and available support
  • Countering misinformation through evidence-based fact-checking and public education
  • Promoting dignity, transparency, and community resilience
  • Providing a digital platform for community support and access to resources
  • Advancing public understanding of asylum and refugee issues

4. Membership

Membership is open to anyone who supports the aims of the CIO. The CIO operates four membership categories: Seeker, Volunteer, General User, and Admin. Seekers shall not be charged fees for access to any resource.


5. Trustees

The CIO shall be managed by a minimum of three trustees. Roles include Chair, Secretary, and Treasurer. Trustees are appointed by resolution of existing trustees and must declare any conflicts of interest.


6. Decision Making

Decisions are made by simple majority of trustees. A quorum is three trustees. Meetings may be held in person or by video conference. Minutes are recorded and made available to all trustees.


7. Finance

All funds are used solely for the purposes of the CIO. Accounts are kept transparent and submitted to the Charity Commission as required. The financial year ends on 31 March. Bank withdrawals above £500 require two trustee authorisations.


8. Safeguarding

The CIO is committed to safeguarding the welfare of all individuals, with particular regard to vulnerable adults. A safeguarding policy is maintained and reviewed annually.


9. Data Protection

The CIO complies with UK GDPR and the Data Protection Act 2018 and maintains a published privacy policy.


10. Amendments

This constitution may be amended by a two-thirds majority of trustees. Amendments to the Object or Dissolution clauses require prior Charity Commission approval.


11. Dissolution

On dissolution any remaining assets shall be transferred to one or more charitable organisations with similar aims, as determined by the trustees.
